Aug 16 (Reuters) - China Zenith Chemical Group Ltd  0362.HK : 
 * C zenith chem-proposed open offer on the basis of one offer share for four 
   existing shares held on the record date and proposed issue of bonus shares on 
   the basis of one bonus share for every offer share taken up under the open 
   offer  0362.HK  
 * Company entered into the underwriting agreement with the underwriter 
 * Gross proceeds of the open offer will be approximately hk$71.9 million 
 * Open offer involves allotment and issue of 718.7 million offer shares at a 
   price of hk$0.10 per offer share 
 * Says underwriter for deal is VC Brokerage limited
