 * Major transaction in relation to proposed spin-off and separate listing of 
the foundation business on the main board of the stock exchange  0385.HK  
 * Says proposed spin-off is expected to be implemented by way of a global 
offering 
 * If global offering proceeds, the offer price is expected to be not less than 
HK$0.50 per offer share and not more than hk$0.66 per offer share 
 * Says global offering proceeds, the total number of ckw shares to be offered 
under the global offering will be 382.5 million
