Feb 9 (Reuters) - Chinney Alliance Group Ltd  0385.HK  
    * Chinney Shun Cheong and subscriber entered into 
subscription agreement 
    * Currently considering feasibility and possibility of 
spin-off by way of separate listing of E&M Engineering Business 
on stock exchange 
    * FRO Management Holdings has agreed to subscribe for, 
convertible bond in principal amount of hk$40 million 
    * Intended that Chinney Shun Cheong and its affiliates will 
undergo reorganisation 
    * Reorganisation such that Chinney Shun Cheong will be 
holding co of all of proposed units after completion of 
reorganisation
