    ** Co prices direct stock offering for sale of about $4 mln
of its common shares 
    ** 20 mln shares to be sold at $0.20 each vs stock's last
close of $0.30
    ** Says it intends to use the net proceeds to repay certain
indebtedness and for general corporate purposes
    ** Offering expected to close on or about May 19
    ** Up to last close, stock had fallen 88.22% YTD
