THE FOLLOWING ANNOUNCEMENT IS BEING MADE PURSUANT TO THE REQUIREMENTS OF RULE
19.6(C)(II) OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE")

EP UK Bidco Limited ("Bidco")

(a company owned indirectly by: (i) EP Corporate Group, a.s. (now renamed EP
Group, a.s.) ("EP"); and (ii) J&T Capital Partners, a.s. ("J&T"))

 

Rule 19.6(c) confirmation with respect to post-offer intention statements made
regarding International Distribution Services Limited (formerly International
Distribution Services plc) ("IDS")

Pursuant to Rule 19.6(c)(ii) of the Code, and further to completion of Bidco's
recommended cash acquisition of the entire issued and to be issued share
capital of IDS, which was implemented by way of a takeover offer under Part 28
of the Companies Act 2006 and which became unconditional on 30 April 2025,
Bidco announces that it has duly confirmed in writing to the Panel on
Takeovers and Mergers that it has complied with the post-offer intention
statements made pursuant to Rule 2.7(c)(viii) and Rule 24.2 of the Code, as
detailed in its announcement of 29 May 2024 and in the offer document
published by Bidco on 26 June 2024.
