("The City Pub Group" or the "Company")
Exercise of Options, Issue of Equity and PDMR dealings
The City Pub Group plc announces that on 14 June 2023 certain Directors and
employees of the Company exercised 1,750,000 options over ordinary shares of
1p each in the Company ("Ordinary Shares") under the Company's Long Term
Incentive Plan (LTIP).
To satisfy these option exercises, 1,250,000 Ordinary Shares were satisfied by
the allotment of Ordinary Shares previously held in The City Pub Group plc
Joint Share Ownership Plan ("JSOP") and a further 500,000 Ordinary Shares have
been issued by the Company as new shares (the "New Shares").
Application will be made for the New Shares, which will rank pari passu with
the Company's existing issued Ordinary Shares, to be admitted to trading on
AIM. It is expected that admission will become effective and that trading will
commence on or around 16 June 2023 ("Admission").
In accordance with the Financial Conduct Authority's Disclosure and
Transparency Rules, the Company hereby announces that following Admission, it
will have 106,293,430 Ordinary Shares in issue, of which 1,064,449 are held in
treasury and 675,000 Ordinary Shares under the JSOP which have not vested. The
total number of voting rights in the Company is 104,553,981 and this figure
may be used by shareholders in the Company as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change in their interest in, the share capital of the
Company under the FCA's Disclosure and Transparency Rules.
Concurrent to the above exercise of options, certain Directors and PDMRs have
sold shares solely to satisfy tax liabilities in relation to their respective
option exercises, as set out below.
