Update on Sale Process of Eversholt Rail

The shareholder has agreed to sell Eversholt Rail to Beacon Rail.

The Competition and Markets Authority (CMA) is currently reviewing the
transaction. The sale will proceed following the completion of the CMA's
review and the granting of approval.

We anticipate that this approval will be received in Q1 2026.

Until then, it remains business as usual at Eversholt Rail.
