Programme (the "Offering Circular"). As disclosed in the Offering Circular,
the notes to be issued under the Programme (the "Notes") are intended for
purchase by professional investors (as defined in Chapter 37 of the Listing
Rules) only and the Programme has been, and the Notes (to the extent they are
to be listed on the Hong Kong Stock Exchange) will be, listed on the Hong Kong
Stock Exchange on that basis.
