million aggregate principal amount of 3.375 per cent. Notes due 27 February
2028;

to be issued by Coca-Cola HBC Finance B.V. under its €5,000,000,000 Euro
Medium Term Note Programme, and guaranteed by Coca-Cola HBC AG.

19 December 2023, as supplemented on 15 February 2024 (the "Base Prospectus")
