    * Says to have increased its stake in Havas  HAVA.PA  to 
82.5 pct as result of public exchange offer 
    * Says 39.9 millions Havas shares (9.5 pct of capital) 
tendered within public exchange offer from Feb. 2 to Feb. 20 
    * To issue 71.7 millions new shares to pay for stake in 
Havas 
    * Financiere De l'Odet stake in Bollore following issuance 
of shares thus to reflect 64.6 pct
