SAINT-GOBAIN COMPLETES THE ACQUISITION OF Ovniver GROUP in Mexico &
central america, further strengthening its worldwide presence in construction
chemicals

Saint-Gobain has today completed the acquisition announced on August 15, 2024
(https://www.saint-gobain.com/sites/saint-gobain.com/files/media/document/20240815_Acquisition_Ovniver_VA.pdf)
, of OVNIVER Group (Cemix brand), a leading construction chemicals player in
Mexico and Central America.

Following the acquisitions of Chryso, GCP and FOSROC (underway), this
represents another strategic step in establishing Saint-Gobain's worldwide
presence in construction chemicals, which will have combined sales of €6.5
billion across 76 countries following the acquisition (pro forma).

OVNIVER Group is expected to have generated revenues of $285 million in 2024,
with a growth rate of around 20% per year on average over the last 5 years,
operates 16 manufacturing plants and has around 1,000 employees. The Group
offers a wide range of innovative solutions for residential and
non-residential construction markets, including façade coatings, tile
adhesives, waterproofing and surface preparation mortars.

This acquisition strengthens Saint-Gobain's presence in the high-growth
Mexican and Central American markets and is fully aligned with the Group's
strategy to accelerate its worldwide presence in construction chemicals.

OVNIVER Group will be consolidated into the Americas Region.
