Exercise of SAYE Options, Director Dealing

and Total Voting Rights

 

1 November 2023 - The Board of Craneware plc (AIM: CRW.L), the market leader
in automated Value Cycle solutions for the US healthcare market, announces
that on 31 October 2023, options over ordinary shares of 1p each in the
Company ("Ordinary Shares") were exercised under the terms of the Craneware
plc SAYE Option Plan (2018) by certain employees and Directors (the "SAYE
Options" and together, the "Exercise").

 

Included within the Exercise was an aggregate of 3,136 SAYE Options exercised
by the following Directors:

Following this transaction, Keith Neilson holds 3,467,707 Ordinary Shares,
representing 9.81% of the total voting rights of the Company and Craig Preston
holds 100,417 Ordinary Shares representing 0.28% of the total voting rights of
the Company, as described below.

 

Total Voting Rights

 

Following the Exercise and also the earlier exercise of SAYE Options and
receipt of employee vested share plan awards by certain other employees in the
period since 16 October 2023, the Company is transferring or has transferred a
total of 13,380 Ordinary Shares previously held in treasury to satisfy the
transactions. As a result, the Company's issued share capital now consists of
35,542,169 Ordinary Shares, of which 179,082 remain held in treasury.
Accordingly, the total number of Ordinary Shares in the Company with voting
rights is 35,363,087. This figure may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FCA's Disclosure Guidance and Transparency Rules.
