16 November 2023 - Craneware plc (AIM: CRW.L), the market leader in automated
Value Cycle solutions for the US healthcare market, is pleased to announce
that at its Annual General Meeting held earlier today, all resolutions were
duly passed.

Resolution 7

 

The Board of Directors notes that while Resolution 7 was passed and a majority
of over 75% of the votes received were 'for' this resolution, a number of the
votes received opposed this resolution.

 

Following consultation with shareholders during their voting consideration,
the Board identified certain concerns regarding the composition of the Board
committees, specifically the Audit and Remuneration committees.  As such, it
has been agreed that Anne McCune will replace Colleen Blye on these committees
with immediate effect. The Board will further consider its composition during
the current Fiscal Year.
