Director/PDMR Shareholding
Crest Nicholson Holdings plc (the 'Company') announces the following
transactions by certain Directors of the Company and other Persons Discharging
Managerial Responsibility ('PDMRs') under the Crest Nicholson Holdings plc
Long-Term Incentive Plan (the 'LTIP').
Awards have been granted over 1,320,566 Ordinary Shares of 5 pence each in the
Company (the 'LTIP Awards') on 27 January 2023.
Subject to performance conditions in respect of total shareholder return,
return on capital employed and the reduction in scope 1 and scope 2 carbon
emissions, and certain other conditions in respect of service and conduct, the
LTIP Awards vest on 27 January 2026. The number of shares subject to the LTIP
Awards has been calculated based on the average of the closing middle market
quotation of a share in the Company for the five preceding dealing days to the
grant date of 27 January 2023 in accordance with the rules of the Plan and no
payment was required for the grant of the LTIP Awards. Details of the
performance conditions can be found in the Company's 2022 Annual Integrated
Report that is expected to be published the week commencing 6 February 2023.
