Crest Nicholson Holdings plc (the 'Company') announces the following
transaction by Bill Floydd, Group Finance Director, under the Crest Nicholson
Holdings plc Long-Term Incentive Plan (the 'LTIP').

An award has been granted over 287,301 Ordinary Shares of 5 pence each in the
Company (the 'LTIP Award') on 5 February 2024.

The LTIP Award consists of share options which are awarded subject to
performance conditions in respect of total shareholder return, return on
capital employed and the absolute reduction in scope 1 and scope 2 carbon
emissions. The LTIP Award will vest on 5 February 2027.

The number of shares subject to the LTIP Award has been calculated based on
the average of the closing middle market quotation of a share in the Company
for the five preceding dealing days to the grant date of 5 February 2024 in
accordance with the rules of the Plan. Details of the performance conditions
can be found in the Company's 2023 Annual Report.
