Director/PDMR Shareholding
Crest Nicholson Holdings plc (the 'Company') announces the following
transactions by Persons Discharging Managerial Responsibility ('PDMRs') under
the Crest Nicholson Holdings plc Long-Term Incentive Plan (the 'LTIP').
Awards have been granted over 595,314 Ordinary Shares of 5 pence each in the
Company (the 'LTIP Awards') on 5 February 2024.
The LTIP Awards consist of share options, 50% of which are awarded subject to
performance conditions in respect of total shareholder return, return on
capital employed and the reduction in scope 1 and scope 2 carbon emissions.
The remaining 50% of the award consists of restricted stock which is subject
to continued service over a period of three years. The LTIP Awards will vest
on 5 February 2027.
The number of shares subject to the LTIP Awards has been calculated based on
the average of the closing middle market quotation of a share in the Company
for the five preceding dealing days to the grant date of 5 February 2024 in
accordance with the rules of the Plan. Details of the performance conditions
can be found in the Company's 2023 Annual Report.
