** U.S.-listed shares of German vaccine maker CureVac 5CV.DE, CVAC.O rise 28.5% to $5.23 premarket

** U.S.-listed shares of Germany-based BioNTech 22UAy.DE up 1% before the bell

** CVAC says it will be acquired by vaccine maker BioNTech 22UAy.DE for about $1.25 billion worth of BioNTech shares

** Each share of CureVac will be exchanged for about $5.46 in BioNTech's American depositary shares, which represents a premium of 34.2% to CureVac's last close

** The deal pairs up two former rivals

** Up to last close, CVAC was up 19.4%, BNTX was down 7.5% YTD
