Rule 19.6(c) confirmation with respect to post-offer intention statements in
relation to Hargreaves Lansdown plc
Hargreaves Lansdown Group Limited ("Hargreaves Lansdown Bidco"), formerly
known as Harp Bidco Limited, a company indirectly owned by CVC Private Equity
Funds, Nordic Capital XI Delta, SCSp (acting through its general partner,
Nordic Capital XI Delta GP SARL) and Platinum Ivy B 2018 RSC Limited, refers
to the recommended acquisition of Hargreaves Lansdown plc which was effected
by way of a scheme of arrangement under Part 26 of the Companies Act 2006 and
which became effective on 24 March 2025.
Hargreaves Lansdown Bidco announces that, in accordance with the requirements
of Rule 19.6(c) of the Code, it has duly confirmed in writing to The Panel on
Takeovers and Mergers that it has complied with its post-offer intention
statements regarding Hargreaves Lansdown plc made pursuant to Rules
2.7(c)(viii) and 24.2 of the Code, as originally detailed in its announcement
of 9 August 2024 and in the scheme document published on 6 September 2024.
