PDMR Dealings
Driver Group PLC (AIM: DRV), the global professional services consultancy to
the construction and engineering industries, announces that it has entered
into agreements with Mr Tom Comerford, Chief Operating Officer and Mr Peter
Banathy, Regional Director (the "Agreements").
As part of the Agreement, the Group has today issued 150,000 new ordinary
shares of 0.4 pence each in the Group (the "Award Shares") held in Treasury
and has granted nil cost options over 250,000 Ordinary Shares under the
Group's share option scheme (the "Options"). The Options vest on receipt,
subject to certain conditions. The issue price for the Award Shares is 24
pence per share, being the closing price the day the Agreement was entered
into.
Following the issue of the Award Shares, Tom Comerford holds 155,600 Ordinary
Shares representing 0.3 per cent. of the Groups issued share capital and Peter
Banathy holds 191,973 Ordinary Shares representing 0.4 per cent. of the Groups
issued share capital.
To satisfy the issue of the Award Shares, 150,000 existing Ordinary Shares
were transferred from treasury on 05 January 2023.
Following the transfer of the Award Shares, the issued share capital of the
Company consists of 53,962,868 Ordinary Shares of which 1,562,406 are held in
Treasury. Therefore, the total number of Ordinary Shares carrying voting
rights in Driver is 52,400,462. This figure of 52,400,462 may be used by
shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest, or a change to their
interest, in the Company under the Disclosure Guidance and Transparency Rules.
