all-stock transaction
    ** Merger to create clinical-stage biotech company focused
on advancing Dianthus' portfolio of next-generation antibody
complement therapeutics
    ** Combined company expected to operate under the name
Dianthus Therapeutics Inc and trade on the Nasdaq under ticker
symbol "DNTH"
    ** As of last close, Magenta Therapeutics shares up ~94% YTD
