Directorate Changes and Board Committee Composition Changes

 

Digital 9 Infrastructure plc announces that, following an orderly handover of
his role after the announcement of the strategic review, Keith Mansfield has
decided to step down as an Independent Director of the Company with immediate
effect. As a result, the Board has reviewed the composition of its committees
and has made the following changes with immediate effect:

·    Aaron Le Cornu is appointed Chair of the Audit Committee and Brett
Miller will join the Audit Committee.

 

·     Brett Miller is appointed Chair of the Management Engagement
Committee replacing Aaron Le Cornu who will remain a member of the Management
Engagement Committee.

In addition to the above changes, the Board is establishing a Valuation
Committee, which is to be chaired by Richard Boléat. All the directors will
be members of the Valuation Committee.

 

No changes will be made to the Risk or Nomination Committees.

 

Charlotte Valeur, Interim Independent Chair, said: "On behalf of the Board, I
would like to thank Keith for his contribution to the Company."

·   SeaEdge UK1, a data centre and landing station for the North Sea
Connect subsea cable, part of the North Atlantic Loop subsea network,
improving connectivity between the UK, Ireland, Scandinavia and North America;

 

The Company's Ordinary Shares were admitted to trading on the Specialist Fund
Segment of the Main Market of the London Stock Exchange on 31 March 2021. The
Company's Ordinary Shares were admitted to the premium listing segment of the
Official List of the Financial Conduct Authority and to trading on the premium
segment of the Main Market on 30 August 2022.
