LONG TERM INCENTIVE AWARDS TO EXECUTIVE DIRECTORS

 

 

The Remuneration Committee has approved the grant of long-term incentive
Awards of Ordinary Shares of 5p each in Diploma PLC to the Executive Directors
on 26 November 2024 under the Diploma PLC 2020 Performance Share Plan (as
amended) ("PSP"):

 JD Thomson  61,090 Ordinary Shares  £45.10
 C Davies    29,401 Ordinary Shares  £45.10

 

The Awards are subject to the achievement of performance conditions measured
over a three-year performance period ending 30 September 2027 and the number
of Ordinary Shares shown above represent the maximum number of shares which
may vest in connection with these Awards.

 

A summary of the PSP, including the performance conditions relating to these
Awards, is set out in the Annual Report & Accounts 2024 that will be sent
to Shareholders in due course. A further announcement will be made when the
Annual Report & Accounts is dispatched to Shareholders. The Annual Report
& Accounts 2024 will also be available on the Company's website at
