Sub: Outcome of the Board Meeting held on March 25, 2022

 

 

Dear Sir,

 

This is to inform you that the Board of Directors of the Company at their
meeting held today, i.e. March 25, 2022, has inter-alia:

 

a)  Approved the re-appointment of Mr. Jawahar Lal Goel (DIN: 00076462) as
the Managing Director of the Company from April 1, 2022 to March 31, 2025
(both days inclusive), basis the recommendations of Nomination and
Remuneration Committee, as per the applicable provisions of Companies Act,
2013. Further, the said re-appointment is subject to the approval of
shareholders of the Company, in terms of applicable provisions. Mr. Jawahar
Lal Goel is also the Chairman of the Board and shall continue to be the
Chairman and;

 

b)  Approved the re-appointment of Mr. Anil Kumar Dua (DIN: 03640948) as the
Whole Time Director of the Company from March 26, 2022 to March 25, 2025 (both
days inclusive), basis the recommendations of Nomination and Remuneration
Committee, as per the applicable provisions of Companies Act, 2013. Further,
the said re-appointment is subject to the approval of shareholders of the
Company, in terms of applicable provisions.

 

Further, we wish to inform that Mr. Jawahar Lal Goel and Mr. Anil Kumar Dua
has not been debarred from holding the office of Director by virtue of any
SEBI order or any other authority.
