Dear Sir/Madam,

 

We wish to inform you that the Board of Directors of the Company at their
meeting held today, i.e. June 26, 2023 have appointed Mr. Veerender Gupta
(DIN: 00420087), the Chief Technology Officer of the Company, as an Additional
Director in the category of Whole Time Director with effect from June 26,
2023, in terms of the applicable provisions of Companies Act, 2013, Uplinking
Guidelines issued by the Ministry of Information & Broadcasting and other
applicable provisions, and basis the confirmation that he is not debarred from
holding the office of Director pursuant to any SEBI order or any other such
authority. Mr. Gupta has been appointed as an Additional Director in the
category of Whole Time Director for a period of 3 years, i.e., from June 26,
2023 till June 25, 2026 (both days included), whose office shall be liable to
retire by rotation. The said appointment is subject to the approval of
shareholders of the Company in terms of applicable regulatory provisions.
