This is to inform you that the Board of Directors of the Company at their
meeting held today, i.e., August 31, 2023, has inter-alia:

 

a)     Approved convening of the 35(th) (Thirty Fifth) Annual General
Meeting ('AGM') of the Equity Shareholders of the Company on Monday, September
25, 2023, at 1730 Hrs (IST), through Video Conferencing (VC') /Other
Audio-Visual Means ('OAVM') and approved Notice thereof;

 

b)     On the recommendations of the Audit Committee, considered the
appointment of S.N. Dhawan & Co. LLP, Chartered Accountants, having Firm
Registration No. 000050N / N500045, as the Statutory Auditor of the Company
for first term of five consecutive years commencing from the conclusion of
ensuing 35(th) Annual General Meeting (AGM) till the conclusion of the 40(th)
AGM of the Company, subject to the approval of the shareholders.
