Result of Annual General Meeting
The Annual General Meeting of Distil plc was held at the offices of Turner
Pope Investments (TPI) Limited, 8 Frederick's Place, London, EC2R 8AB on 7
July 2022 at 11:00 a.m.
All 6 resolutions put to shareholders were passed on a poll. Resolutions 1 to
5 were passed as ordinary resolutions and resolution 6 was passed as a special
resolution.
The proxy votes cast by or on behalf of shareholders on each resolution, which
are set out in summary, are set out below.

In relation to Resolution 6, while shareholders approved the resolution to
disapply a limited number of pre-emption rights, with 75.99% votes cast in
favour, the Company recognises that some shareholders have concerns on this
matter. The Company will further engage with shareholders to ensure
shareholder views are fully understood.
As at 7 July 2022, there were 684,399,579 ordinary shares in issue.
Shareholders are entitled to one vote per share. Votes withheld are not votes
in law and so have not been included in the calculation of the proportion of
votes for and against a resolution.
