THIS ANNOUNCEMENT IS BEING MADE PURSUANT TO THE REQUIREMENTS OF RULE 19.6(C) OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE") WHICH, INTER ALIA, REQUIRES A PARTY TO AN OFFER WHICH HAS MADE A POST-OFFER INTENTION STATEMENT TO MAKE AN ANNOUNCEMENT AT THE END OF THE PERIOD OF 12 MONTHS FROM THE DATE ON WHICH THE OFFER PERIOD ENDED CONFIRMING WHETHER IT HAS TAKEN, OR NOT TAKEN, THE COURSE OF ACTION SET OUT IN THE POST-OFFER INTENTION STATEMENT

Rule 19.6(c) confirmation with respect to post-offer intention statements regarding Adriatic Metals Plc (now DPM BH Holdings Limited) ("Adriatic") 
DPM Metals Inc. (formerly Dundee Precious Metals Inc.) ("DPM") refers to its recommended acquisition of the entire issued and to be issued ordinary share capital of Adriatic, which was implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006, and which became effective on 3 September 2025.
DPM announces that it has duly confirmed in writing to The Panel on Takeovers and Mergers in accordance with the requirements of Rule 19.6(c)(i) of the Code that it has complied with its post-offer intention statements made pursuant to Rules 2.7(c)(viii) and 24.2 of the Code, as set out in its firm offer announcement of 13 June 2025 and the scheme document published on 14 July 2025 (the "Scheme Document").
Capitalised terms used but not defined in this announcement shall have the same meanings given to them in the Scheme Document.
