Notification of Transactions by Director/Person Discharging Managerial
Responsibility

Dr. Martens plc (the 'Company') announces that it has been notified of the
following transaction(s) in the Company's Ordinary 1p shares undertaken on
behalf of a director and person discharging managerial responsibility
('PDMR').

 

On 15 October 2025, a tranche of restricted stock units ('RSUs') granted to
Ije Nwokorie under the Company's Long Term Incentive Plan ('LTIP') prior to
his appointment as Chief Executive Officer vested and sufficient shares were
subsequently sold on his behalf to cover his consequent tax and national
insurance liabilities.

This tranche constitutes a portion of the RSU award which was granted to Ije
on 14 June 2024 in lieu of outstanding incentive awards he forfeited on
leaving his previous employer (the Award). The Award was made pursuant to the
buyout arrangements agreed to secure Ije's recruitment to his previous role as
Chief Brand Officer, which he held from February 2024 until he became Chief
Executive Officer in January 2025, and in line with the stipulations of the
Company's Remuneration Policy that 'buyout awards' be granted on a
like-for-like basis to the extent possible. Full details of awards made to Ije
under the LTIP will be disclosed in the Directors' Remuneration Report within
the FY26 Annual Report, scheduled to be published in June 2026.

The relevant notifications, set out below, are provided in accordance with the
requirements of Article 19 of the Market Abuse Regulation.
