The Company announces that on 10 June 2016, the following director and PDMRs purchased the number of shares (partnership shares) set out against their names below and were allocated the number of free matching shares set out below under the Company's Share Incentive Plan ('SIP'):

The partnership shares were purchased at the price of 14.44 per share. Each participant may contribute 150 per month, or make a lump sum payment from their annual bonus, towards the purchase of partnership shares.
In accordance with the rules of the SIP, the matching shares have been awarded on the basis of one matching share for each partnership share purchased. The Company matches the first 1,500 per year of shares purchased from employee contributions.
The matching shares will vest on the 3rd anniversary of the purchase of the partnership shares subject to continued employment and the retention of the underlying partnership shares.
This notification is made pursuant to the requirements of the Disclosure and Transparency Rule 3.1.4R. The Company received notification of this transaction from the trustees of the SIP on 13 June 2016. The place of the transaction was London.
