easyJet's Articles currently contain provisions to limit the ownership of the Company's shares by non-UK nationals and a number of powers to enforce this .
easyJet is asking shareholders at its 2018 Annual General Meeting to supportchanges to its Articles of Association which will enable the Board to ensure that the Company remains EU owned and controlled at all times after the UK has left the EU thus allowing it to continue to fly between and within EU countries post Brexit.
easyJet has no immediate intention of using its proposed powers but considers these changes an important step in ensuring that easyJet plc has the ability to maintain EU ownership and control at all times should it need to do so.
easyJet begins from a position of strength with close to 50% of its shares already held in the hands of EEA (non-UK) nationals and the Company has already begun a more active investor relations programme across Europe with the intention of increasing EEA (non-UK) ownership above 50% prior to the UK's exit from the EU.
It is anticipated that, prior to the UK leaving the EU, the minimum of EEA (non-UK) holders of easyJet shares following this change will be set at slightly above 50%.
In addition, easyJet is working with the UK government, EU institutions and EU Member States to ensure that flying rights between the UK and the EU are maintained.
Details of the proposed changes to the Articles of Association (which also include other changes to reflect developments in market practice and some minor changes of a clarifying nature) are set out in the Appendix to the Notice of Annual General Meeting available on the Company's website. The existing Articles of Association, marked up to show proposed changes, are also available on the Company's website.
