    * Share transaction in relation to acquisition of 51 pct 
issued share capital of target company 
    * Co entered into share subscription and transfer agreement 
with Smart Shine Leejae Technology, Vector Adroit Sci-Tech Co 
and guarantors 
    * Co will provide interest-free and unsecured shareholder's 
loan in principal amount of RMB11.7 million to target company 
    * Co has agreed to purchase shares, representing 15.3 pct of 
issued share capital of target company for a consideration of 
RMB12.7 million
