    * Letter Of Intent Relating To The Strategic Cooperation 
With Zhongshang Huimin (Beijing) E-commerce Co. Ltd 
    * Parties committed to establish a long-term strategic 
cooperation relationship 
    * Relationship in areas of procurement and sourcing of 
overseas products for huimin and equity investment. 
    * Company, its senior management and a cooperative partner 
will form joint venture 
    * Joint venture will be responsible for procurement and 
sourcing of overseas products for huimin 
    * Initial term of strategic cooperation under letter of 
intent is ten (10) years. 
    * Company and huimin entered into non-legally binding letter 
of intent 
    * Company and huimin will also explore feasibility of equity 
investment in each other at a later stage.
