pct to $2.65, second among top decliners across U.S. exchanges  
    ** Co files shelf registration with U.S. SEC for the
potential offering of about 2.54 mln shares 
    ** Says issue of shares, from time to time, upon exercise of
co's currently outstanding warrants by the holders 
    ** Co to get $13.33 mln in proceeds from exercise of the
