Transactions by Persons Discharging Managerial Responsibility ("PDMR") and persons closely associated with them
The Board of Empiric Student Property plc (ticker: ESP) (the "Board"), the owner and operator of premium student accommodation across the UK, announces that on 2 October 2019, Timothy Attlee, Chief Executive Officer of the Company, exercised a nil-cost option award granted on 9 November 2015 under the rules of the Empiric Student Property plc 2014 Long Term Incentive Plan over 120,833 ordinary shares of 1p each in the Company.
 
Issue of Equity and Total Voting Rights
 
As a result of the Exercise, the Company has issued and allotted a total of 120,833 Ordinary Shares and application will be made for the Ordinary Shares to be listed on the Official List of the Financial Conduct Authority and admitted to trading on the Main Market of the London Stock Exchange on 7 October 2019 ("Admission").
 
The total number of Ordinary Shares in the Company in issue immediately following Admission will be 603,008,573 each with equal voting rights Accordingly, Mr Attlee's beneficial and non-beneficial holdings in the Company are 955,507 ordinary shares, which will represent approximately 0.158 per cent. of the total voting rights of the Company.
 
The Notification of Dealing Form provided in accordance with the requirements of the Market Abuse Regulation in relation to the transaction listed above is set out below.
