EXERCISE OF LTIP OPTIONS - ISSUE OF EQUITY

The Board of Empiric Student Property plc (ticker: ESP), the owner and
operator of premium student accommodation serving key UK universities,
announces that an application has been made for 92,018 new ordinary shares of
1 pence each ("Shares") to be admitted to be admitted to the premium listing
segment of the Official List of the FCA and to trading on the London Stock
Exchange ("Admission").

 

It is expected that Admission will become effective and dealings in the new
Shares will commence at 8.00 a.m. on 17 August 2022. Following Admission, the
number of ordinary shares the Company has in issue will be 603,351,880 and the
total number of voting rights in the Company will be 603,351,880. There are no
shares held in treasury. The figure 603,351,880 may be used by shareholders as
the denominator for the calculation by which they may determine if they are
required to notify their interest in, or change to their interest in, the
Company under the FCA's Disclosure Guidance and Transparency Rules.

 

The application has been made to meet obligations arising from deferred share
awards granted by the Company on 1 May 2018 and 24 April 2019 to Lynne Fennah,
the current Chief Financial and Sustainability Officer of the Company. The
awards were made pursuant to the deferred shares element of the Company's
annual bonus awards for the 12-month financial periods to 31 December 2017 and
31 December 2018, respectively. When issued, these Shares will rank pari passu
with the Company's existing ordinary shares.

 

Following Admission, Lynne Fennah will have beneficial interest in 147,418 of
the Company's ordinary shares, representing approximately 0.02 per cent. of
the total voting rights of the Company.
