("EnergyPathways" or the "Company")

 

Issue of fee shares

 

EnergyPathways plc (AIM: EPP), an integrated energy transition company,
announces the issue of 496,164 new ordinary shares of 1 pence each at ("Fee
Shares") in settlement of consultancy fees for members of the Marram Project
management team for Q4 2024 and for other third party services received.

 

Pursuant to the terms of the agreements with the Company's consultants,
monthly fees are settled through a combination of cash payments and the
periodic issue of new shares. Accordingly, the Company has issued 334,874 Fee
Shares, representing a total of £31,449.70 in fees payable by the Company at
a price of approximately 9.39p per Fee Share. The pricing for these shares is
based on the 5 day VWAP for the last five days of trading, calculated on a
monthly basis.

 

Additionally, the Company has settled £12,500 due to a third party service
provider by way of the issue of 161,290 Fee Shares at a price of approximately
7.75p per share as per the terms of engagement agreed with the third party.

Admission and Total Voting Rights

Application will be made for the Fee Shares to be admitted to trading on AIM,
which is expected to occur on or around 10 March 2025 ("Admission"). The Fee
Shares will rank pari passu in all respects with the Company's existing
ordinary shares currently traded on AIM.

Following Admission, the Company's issued share capital will comprise
168,991,509 ordinary shares of 1 pence each. This number will represent the
total voting rights in the Company and may be used by shareholders as the
denominator for the calculation by which they can determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the Financial Conduct Authority's Disclosure and Transparency
Rules.
