** Shares of financial software vendor Envestnet ENV.N up
1% at $62.30 in premarket trade
** Private equity firm Bain Capital says it will buy ENV in
a $4.5 bln deal
** The proposed deal, in which Reverence Capital will also
participate, is for $63.15 per share
** Shares of Envestnet closed at $61.70 on Wednesday
** As of last close, ENV has gained ~25% YTD
