THE FOLLOWING ANNOUNCEMENT IS BEING MADE PURSUANT TO THE REQUIREMENTS OF RULE
19.6(C)(II) OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE").

Freya Bidco Limited ("Bidco"),

a company indirectly owned by (i) EQT X EUR SCSp and EQT X USD SCSp, each
acting through its manager (gérant) EQT Fund Management S.à r.l., and (ii)
Luxinva S.A.

 

Confirmation with respect to post-offer intention statements made regarding
Dechra Pharmaceuticals PLC ("Dechra")

Pursuant to Rule 19.6(c)(ii) of the Code, and further to completion of Bidco's
recommended cash acquisition of the entire issued and to be issued share
capital of Dechra, which was implemented by way of a Court-sanctioned scheme
of arrangement under Part 26 of the Companies Act 2006 and became effective on
16 January 2024, Bidco announces that it has duly confirmed in writing to the
Panel on Takeovers and Mergers that it has complied with the post-offer
intention statements made pursuant to Rule 2.7(c)(viii) and Rule 24.2 of the
Code, as detailed in its announcement of 2 June 2023 and in the scheme
document published by Dechra on 26 June 2023.
