Director Dealing

 

everplay announces that it has been notified by Debbie Bestwick MBE, Non-Executive Director of the Company (the "Selling Shareholder"), that she has sold 3,243,243 ordinary shares of £0.01 each ("Ordinary Shares") in the Company (the "Sale Shares") at a price of £3.70 per Sale Share (the "Sale").

 

Following the Sale, Debbie Bestwick has a beneficial interest of 23,381,243 Ordinary Shares, representing approximately 16.0 per cent. of the existing issued share capital of the Company.

 

The Selling Shareholder has agreed not to sell or otherwise dispose of any of her remaining holding of Ordinary Shares for 5 months following completion of the Sale, except with the prior written consent of Peel Hunt LLP ("Peel Hunt").

 

The proceeds of the Sale are payable in cash and will be settled on a T+2 basis (unless otherwise agreed), and settlement of the Sale is expected to occur on or about 9 September 2025.

 

The Company will not receive any proceeds from the Sale.
