Director Dealing

 

Team17 announces that it has been notified by Debbie Bestwick MBE,
Non-Executive Director of the Company (the "Selling Shareholder"), that she
has agreed to sell, subject to completion, 3,026,694 ordinary shares of £0.01
each ("Ordinary Shares") in the Company (the "Sale Shares") at a price of
£2.10 per Sale Share (the "Sale").

 

Following the Sale, Debbie Bestwick will have a beneficial interest of
27,240,250 Ordinary Shares, representing approximately 18.7 per cent. of the
existing issued share capital of the Company.

 

Debbie has agreed not to sell or otherwise dispose of any of her holding of
Ordinary Shares for 5 months following completion of the Sale, except with the
prior written consent of Peel Hunt LLP ("Peel Hunt").

 

The proceeds of the Sale are payable in cash and will be settled on a T+2
basis (unless otherwise agreed), and settlement of the Sale is expected to
occur on or about 11 November 2024.

 

The Company will not receive any proceeds from the Sale.
