("Team17", the "Group" or the "Company")

 

Director/PDMR shareholding

 

On 13 August 2024 the Company was notified by Link Market Services Trustees
Limited (the "Trustee"), as the Trustee of the Team17 Group plc Share
Incentive Plan (the "Plan"), that on 12 August 2024 it had purchased ordinary
shares of £0.01 each in the Company ("Partnership Shares") on behalf of the
persons discharging managerial responsibility as set out below:

Under the Plan, each participant may contribute up to £150 per month towards
the purchase of Partnership Shares. Matching Shares are awarded on the basis
of two Matching Shares for each Partnership Share purchased, but only for the
first £25 of Partnership Shares purchased per month. The Matching Shares will
vest on the third anniversary of award, subject to continued employment and
the retention of the underlying Partnership Shares.
