 A portfolio company of certain funds managed by TA Associates holds the
 following interest in ordinary shares of £0.005 each in FD Technologies plc
 through certain funds managed by the portfolio company.  Under the Code, such
 portfolio company is deemed to be a person acting in concert with the
 offeror.  However, TA Associates does not have any involvement in such
 portfolio company's asset management activities.
