Nov 21 (Reuters) - FDB Holdings Ltd  1826.HK : 
    * Masterveyor Holdings, Ng Kin Siu and Gentle Soar entered 
into 
sale and purchase agreement 
    * Aggregate consideration for sale shares is HK$469 million 
equivalent to about HK$0.544 per sale share. 
    * Gentle Soar to buy and Masterveyor Holdings to sell sale 
shares, 
being an aggregate of 862.4 million shares 
    * Co has applied for resumption of trading in shares on 
stock 
exchange with effect from 9:00 am on 22 Nov 
    * Sale shares represent 70 pct of entire issued share 
capital of 
co
