NOTIFICATION OF TRANSACTION OF DIRECTOR
Withdrawal of Shares from Buy As You Earn Plan
In line with the FDM Group Directors' Remuneration Policy (last approved by shareholders at the AGM in May 2024), Michael McLaren, Chief Financial Officer, has been a participant in the FDM Group Buy As You Earn all-employee share plan (the "Plan"). Following FDM Group's decision to close the Plan, all participants in the Plan have been required either to withdraw, or sell, the ordinary shares of £0.01 in the Company which had been held on their behalf, under a nominee arrangement, by the provider of the Plan ("Plan Shares").
On 22 June 2026, pursuant to that requirement, 7,963 Plan Shares were transferred to Michael McLaren. His beneficial holdings in FDM Group remain unchanged.
The transaction has been carried out for nil consideration.
