NOTIFICATION OF TRANSACTION OF PDMR
Withdrawal of Shares from Buy As You Earn Plan
Mark Heather, Group Governance Director & Company Secretary of FDM Group, has been a participant in the FDM Group Buy As You Earn all-employee share plan (the "Plan"). Following FDM Group's decision to close the Plan, all participants in the Plan have been required either to withdraw, or sell, the ordinary shares of £0.01 in the Company which had been held on their behalf, under a nominee arrangement, by the provider of the Plan ("Plan Shares").
On 18 June 2026, pursuant to that requirement, 15,255 Plan Shares were transferred to Mark Heather. His beneficial holding in FDM Group remains unchanged.
The transaction has been carried out for nil consideration.
