Director / PDMR Shareholding

FDM Group (Holdings) Plc (the "Company"), a global professional services
provider with a focus on Information Technology, announces that on 2 June
2023, the Executive Directors and PDMRs named below each acquired ordinary
shares of £0.01 in the Company ("Shares") as set out below at a price of
£6.86 per Share. The Shares acquired represent the after-tax amount of a
proportion of the individuals' bonuses for the year ended 31 December 2022. In
the case of the Executive Directors this is in line with the bonus deferral
arrangements set out in the current Directors' Remuneration Policy, which was
approved by shareholders at the AGM held on 28 April 2021. In each case the
Shares are subject to a two-year deferral period.
