Feb 4 (Reuters) - Ferro SA  FROP.WA : 
    * Palmyra Sp. z o.o. to make tender offer call for all 
company's shares at 10.5 zlotys ($2.6) per share 
    * Aneta Raczek, chairman of company's management board, 
Artur Depta, Zbigniew Gonsior, Vladimir Sild, Andrzej Holoj and 
ABH Holding Sp. z o.o. agrees to sell company's shares in 
Palmyra's tender call 
    * Threshold for tender offer to be valid is at 80 percent 
stake acquired 
    * Transaction is dependant on Polish Anti-Monopoly Office 
approval (UOKiK)
