 * To expand into Kentucky with the acquisition of peoples bancorp, inc. of 
   bullitt county 
 * Says deal valued at about $29.5 million 
 * Says agreement was approved by the boards of both companies 
 * Shareholders of peoples may receive additional cash payment if peoples sells 
   certain specified assets prior to effective date of deal 
 * Shareholders of peoples will receive either 383.83 shares of co or $9,475 in 
   cash for each share of peoples common stock owned
