DIRECTORATE CHANGE

FirstGroup plc (‘FirstGroup’ or the ‘Group’), a leading provider of
transport services in the UK and North America, today announces that Imelda
Walsh has informed the Company of her intention to step down from the Board.
In order to ensure a smooth transition in respect of the Remuneration
Committee, Imelda has agreed to continue to serve as a Director until the end
of the current financial year at the latest. A selection process for her
successor has commenced in accordance with UK Corporate Governance Code
recommendations.

Commenting, FirstGroup Interim Chairman David Robbie said:

“On behalf of the Board, I would like to thank Imelda for the loyalty,
commitment and diligence of her service to the Board over the last five years,
in particular as Chair of the Remuneration Committee.”
