Transaction in Own Shares
 
The Company announces that on 6 February 2019 it had purchased a total of 5,224 of its ordinary shares of EUR 0.09 each (the "ordinary shares") on the London Stock Exchange and the Irish Stock Exchange, trading as Euronext Dublin, through the Company's broker, Goodbody Stockbrokers UC ("Goodbody") as detailed below. The repurchased shares will be cancelled.

The purchases form part of the Company's share buyback programme announced on 8 August 2018.
 
Following settlement of the above purchases, the Company's total number of ordinary shares in issue shall be 78,429,856 ordinary shares, each carrying the right to one vote. The Company also holds 1,965,600 ordinary shares in treasury, which do not carry voting rights.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation), the detailed breakdown of individual trades made by Goodbody on behalf of the Company as part of the share buyback programme is set out in the Appendix to this announcement.
 
The Group hereby confirms that the second share buyback programme tranche of £300m commenced on 20 August 2018 has now completed. Goodbody Stockbrokers UC, who was undertaking the related repurchases of the Company's shares on the Group's behalf, repurchased a total of 4,564,134 ordinary shares in the Company all of which have been cancelled.
 
Accordingly, the Group announces that the full £500m share buyback programme, which commenced on 29 May 2018, has now completed. Under this programme, the Company repurchased for cancellation 6,993,308 ordinary shares for a total consideration of approximately £500m.
